Terms of use for TOOLBIX Plus

1. Provider and scope

TOOLBIX and TOOLBIX Plus are provided by Michael Kraus (Mindmaniax), Am Kobelgraben 14b, 86356 Neusäß, Germany, email support@mindmaniax.de.

The TOOLBIX app is licensed under Apple's Standard EULA. These terms additionally apply to TOOLBIX Plus, i.e. everything that runs through our server. Purchase, payment, renewal, cancellation and refunds are handled exclusively by Apple's App Store under Apple's terms.

2. What TOOLBIX Plus offers

• Plus 5: one group of up to 5 people (including the person who pays) and 50 GB of shared storage.
• Plus 10: one group of up to 10 people (including the person who pays) and 100 GB of shared storage.

The group can create shared folders, exchange files and send each other documents to sign (“Please sign”) within the group, with a notification on the iPhone. While the subscription is active and the group stays within its allowed number of people (see section 5), all group members can use all TOOLBIX tools without buying the app themselves. For larger groups, write to us.

Your personal files stay on your device. Only what you put into a shared folder or send for signature is stored on our server.

3. Account and group

For Plus you sign in with “Sign in with Apple”. The person who pays owns the group and invites members via an invitation link. The owner can remove members. Every member can leave the group and delete their account in the app.

4. Term and cancellation

The subscription runs monthly or yearly and renews automatically unless cancelled at least 24 hours before the end of the current period. You can cancel at any time in your iPhone settings under your name › Subscriptions, where you can also switch between Plus 5 and Plus 10; under Apple's rules an upgrade applies immediately and a downgrade at the end of the current period.

5. When the subscription ends

When the subscription ends, the group can still view and download its files. New files, new folders and new signature requests are no longer possible, and members without their own purchase can no longer use the tools; their own files on their device remain. 90 days after the subscription ends we delete the group's files permanently; the group and empty folders remain. If the subscription is renewed before then, everything is back. Please save anything you want to keep in good time.

If you switch from Plus 10 to Plus 5 and the group then has more than 5 people, new files, invitations and the members' free use of the tools are paused until you remove people or switch back to Plus 10. Nobody is removed automatically.

6. Availability and your own backups

We run the server carefully and back up the data regularly. We cannot promise uninterrupted availability, for example during maintenance or outages. TOOLBIX Plus is not an archive: keep your own copies of important documents.

7. Your obligations

• Only upload content you are allowed to share, and nothing unlawful.
• Only invite people who should see the content. All members see all shared folders of the group.
• Protect your iPhone and your Apple ID against unauthorised access.

In case of serious or repeated violations we may block access to Plus.

8. Electronic signature

A signature drawn in TOOLBIX is a simple electronic signature. It is not an advanced or qualified electronic signature under the eIDAS Regulation and does not replace a legally required handwritten signature (e.g. § 126 of the German Civil Code). It is not suitable for documents that must by law be signed by hand. You decide yourself whether a simple signature is sufficient for your purpose.

9. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slight negligence we are only liable for breach of an essential obligation you may rely on, and only for foreseeable, typical damage. For lost data we are only liable to the extent the loss would also have occurred with regular backups of your own.

10. Data processing on your behalf (Art. 28 GDPR)

If you use TOOLBIX Plus for work or for a club and put other people's personal data (e.g. of customers, employees or members) into shared folders or signature requests, you are the controller for that data and we process it on your behalf. In that case this section is the data processing agreement; it applies from the start of the subscription and ends when the subscription ends and the data has been deleted.

• Subject and purpose: storing and providing the files in shared folders and the signature requests to the members of your group, and notifications about them.
• Types of data and data subjects: any data you put into documents, and the names of group members; data subjects are the people whose data is in your documents, and the members.
• Instructions: we process the data only to provide TOOLBIX Plus and according to your instructions, given by using the app (upload, share, delete). We do not use the content for our own purposes, for advertising or for training AI.
• Confidentiality: only the operator has access to the server and is bound to confidentiality.
• Security: server and storage in Germany, encrypted transmission only (TLS), server access by key only, regular backups, regular updates, request logs without IP addresses.
• Sub-processors: Hetzner Online GmbH, Industriestr. 25, 91710 Gunzenhausen, Germany (server and storage, Nuremberg data centre); Apple (delivery of notifications via the Apple Push Notification Service). We announce new sub-processors on this page in advance; you may object and cancel the subscription.
• Support: we help you answer requests from data subjects and notify you of personal data breaches without undue delay.
• Deletion: after the subscription ends we delete the data as described in section 5; it disappears from backups within 30 days after that.
• Evidence: on request we provide the information you need to demonstrate compliance.

11. Changes and final provisions

If we change these terms, we will announce it in good time in the app or on this page. German law applies; mandatory consumer protection rules of your country of residence remain unaffected. How we handle data is described in the TOOLBIX privacy policy.
